Terms of Service

Welcome to TeaLab.io, provided by Mikko Finell (“we”, “us”, “our”). These Terms of Service (the “Terms”) govern your access to and use of the TeaLab.io SaaS platform (the “Service”).

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

2. Eligibility

You may use the Service only if:

You are at least 16 years old
You have the legal authority to enter into a binding contract
You agree to comply with these Terms and all applicable laws

If you are using the Service on behalf of a company or organization, you represent that you are authorized to bind that organization to these Terms. In that case, “you” means the organization.

3. Your Account

To use the Service, you must create an account. You agree to:

Provide accurate information
Keep your login credentials confidential
Be responsible for activity under your account
Notify us immediately if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Content

4.1 What you upload

You may upload documents, text, configuration parameters and other materials (“User Content”) to the Service.

You retain all rights to your User Content. We do not claim ownership over it.

4.2 Your responsibilities

You are responsible for:

Ensuring you have the necessary rights and permissions to upload User Content
Ensuring the content does not violate any laws or third-party rights
Avoiding uploading illegal, harmful, or confidential data unless you are authorized to do so

4.3 Limited license you grant us

To operate the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

Process, host and store your User Content
Transmit it to selected third-party AI providers
Generate, store and deliver outputs
Create backups and perform security operations

This license exists solely for the purpose of providing the Service to you.

4.4 Content retention

We retain User Content only as long as needed to operate the Service or as specified in our Privacy Policy. You may delete your User Content at any time, and we will remove it from active systems promptly (and from backups within a reasonable period).

5. AI Processing and Third-Party Providers

A core feature of the Service is generating outputs using AI models. This means we may transmit your User Content to selected third-party providers, such as:

These providers process your data solely to generate outputs. We configure providers so that:

Data is not used to train their models (where such controls exist)
Data is retained only as required to deliver results

Use of third-party AI services is subject to their technical limits and availability. We are not liable for errors or limitations in third-party AI outputs.

6. Generated Outputs

The Service generates reports, analyses and other materials (“Outputs”) based on your User Content.

You own the Outputs.

You receive a worldwide, transferable, royalty-free license to use, modify and distribute Outputs for any purpose.

Limitations

Outputs are generated by automated systems and may contain:

Errors, inaccuracies or incomplete information
Biased or unexpected results
Content unsuitable for certain use cases

You are responsible for reviewing and validating all Outputs before relying on them.

The Service is not intended for use in high-risk or regulated contexts (legal, medical, financial, safety-critical decisions, etc.) without independent human review.

7. Acceptable Use Policy

You agree not to:

Upload or process unlawful, harmful, defamatory, abusive or fraudulent content
Upload content that violates intellectual property rights
Attempt to reverse engineer, disrupt or interfere with the Service
Use the Service for malicious purposes (phishing, harassment, generating malware, etc.)
Circumvent security measures
Use automated tools to overload or excessively stress the system
Attempt to create competing models by scraping, data-mining or harvesting Outputs

We may suspend or terminate access if you violate these terms.

8. Payment and Subscriptions (if applicable)

If your plan requires payment:

Fees are stated before purchase
Subscriptions renew automatically unless canceled
Taxes may apply depending on your location
Failure to pay may suspend your access

If no pricing exists yet, delete or simplify this section.

Refund policies must be consistent with local consumer laws (e.g., EU digital services rules).

9. Service Availability

We aim to provide reliable uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Maintenance
Updates
System failures
Outages of third-party providers

We will make reasonable efforts to notify users of planned downtime.

10. Data Protection and Privacy

Our processing of personal data is described in detail in our Privacy Policy, which forms part of these Terms.

By using the Service, you agree that:

You have read the Privacy Policy
You consent to the processing of personal data described therein
You understand that User Content may be transferred to AI providers outside the EU with appropriate safeguards (e.g. SCCs)

If you deliver the Service as a processor (B2B), a Data Processing Agreement (DPA) applies.

11. Intellectual Property

We own the Service, including:

Software
Designs and workflows
Documentation
Logos, trademarks and branding
Website layout and appearance

You may not copy, modify, distribute or reverse-engineer the Service except where allowed by law.

12. Disclaimers

The Service is provided “as is”, without warranties of any kind, including:

Accuracy or reliability of AI-generated Outputs
Suitability for any particular purpose
Availability or uptime
Error-free or secure operation

To the extent permitted by law, we disclaim all implied warranties.

13. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, consequential, punitive or special damages
Our total liability related to the Service is limited to the amount paid by you in the 12 months before the event giving rise to the claim
We are not liable for loss or misuse of User Content caused by factors outside our reasonable control
We are not liable for decisions you make based on AI-generated Outputs

Nothing in these Terms limits liability where prohibited (e.g., intentional misconduct, statutory rights).

14. Suspension and Termination

We may suspend or terminate your access if:

You violate these Terms
You misuse the Service
You fail to pay subscription fees (if applicable)
We discontinue the Service

Upon termination:

Your license to use the Service ends
We may delete your User Content after a reasonable period, except where required by law
You retain ownership of your Outputs downloaded prior to termination

15. Changes to the Service or Terms

We may update the Service or these Terms from time to time. When we make material changes, we will notify you by email or within the Service.

Continued use after changes means you accept the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of Finland, without regard to conflict-of-laws rules.

If you are a consumer in the EU, you may have mandatory rights under your local law which these Terms do not override.

Any disputes shall be resolved in:

The courts of Finland (for B2B)
Your local competent courts (for EU consumers, where applicable)
